Terms and Conditions

1. Agreement

These Terms of Service govern the relationship between Modular Web Solutions ("MWS", "we", "us") and you ("Client") when you engage us to build custom software or related services. By signing a proposal or making a payment, you agree to these terms.

2. Services

MWS provides custom software development services including but not limited to:

• Custom web applications and platforms

• CRM and client portal development

• Field service and dispatch software

• Invoicing, billing, and payment systems

• Business dashboards and internal tools

The specific scope of each project is defined in a written proposal accepted by both parties.

3. Ownership & Intellectual Property

Upon receipt of full payment, you own the deliverables produced for your project — including source code, design assets, and documentation. MWS retains no ongoing license or claim over your project after payment is complete.

MWS retains ownership of any pre-existing tools, libraries, frameworks, or components developed independently of your project. These may be included in your build under a perpetual, royalty-free license.

Open-source components used in your project are licensed under their respective open-source licenses.

4. Payments

Projects are typically billed as follows:

• 50% deposit due before work begins

• 50% balance due upon project completion and delivery

Monthly payment plans may be available upon request. Hosting and support plans are billed monthly in advance.

All invoices are due within 14 days of issuance unless otherwise agreed in writing. Overdue invoices accrue interest at 1.5% per month.

5. Payment Links

We may send payment links by email, text message, client portal, or another agreed communication method. Payment links are processed by Stripe or another third-party payment processor. You are responsible for reviewing the invoice amount, description, and due date before paying. A payment link does not modify the underlying proposal, invoice, or service agreement unless we expressly state that in writing.

6. Phone, SMS, and Messaging Terms

If you provide your phone number and opt in, you agree that Modular Web Solutions may contact you by phone call or text message at the number provided about your request, project updates, support, invoices, payment links, signatures, and occasional marketing offers. Communications may include automated or assistant-assisted calls or text messages.

Message frequency varies based on your relationship with us and your requests. Message and data rates may apply. Consent to receive calls or text messages is not required to buy services from us.

You can opt out of text messages at any time by replying STOP. You can request help by replying HELP or contacting rob@mwsolutions.dev or (937) 710-8851. Opting out of marketing messages may not stop transactional or service messages that are legally permitted or necessary to complete an existing request, invoice, project, or support matter.

We do not sell, rent, or share text messaging originator opt-in data or consent with third parties or affiliates for their own marketing or promotional purposes.

7. Revisions & Change Requests

Changes to scope after a proposal is accepted may result in additional charges. Any change request that materially affects the scope, timeline, or complexity of the project will be quoted separately before work begins. Minor revisions within the agreed scope are included.

8. Timeline

MWS will provide a project timeline in the proposal. Timelines are estimates and may be affected by scope changes, client response times, or circumstances outside our control. We will communicate delays promptly. Significant delays on our part may entitle the client to a partial refund as outlined in the project proposal.

9. Client Responsibilities

To complete your project on time, you agree to:

• Provide necessary content, credentials, and materials within agreed timeframes

• Respond to review requests within 5 business days

• Designate a primary point of contact for project decisions

• Test and approve deliverables within 14 days of delivery

Delays caused by unresponsiveness may affect the project timeline and are not the responsibility of MWS.

10. Hosting & Support

Hosting services are provided on a month-to-month basis unless otherwise specified. Either party may terminate hosting with 30 days written notice. Support plans cover bug fixes and minor updates. New feature development is scoped and billed separately.

11. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project. MWS will not share your project details, business data, or client information with third parties without your consent, except as required by law.

12. Warranties & Disclaimers

MWS warrants that deliverables will materially conform to the agreed specifications for 60 days after delivery. After this warranty period, ongoing support requires a support plan or change request billing. Software is provided "as is" after the warranty period. MWS does not warrant that software will be error-free or operate without interruption.

13. Limitation of Liability

MWS's total liability for any claim arising from services rendered shall not exceed the total amount paid by the client for the specific project in question. MWS shall not be liable for indirect, consequential, or incidental damages including lost profits or data loss.

14. Termination

Either party may terminate a project agreement with written notice. If the client terminates after work has begun, payment is owed for all work completed to date. If MWS terminates without cause, a pro-rated refund will be issued for any unused portion of the deposit.

15. Governing Law

These Terms are governed by the laws of the State of Ohio. Any disputes shall be resolved in Miami County, Ohio. Both parties agree to attempt good-faith resolution before pursuing legal action.
